Welcome to Factoria-Agro, a leading Ukrainian producer of premium mustard, flaxseed, and coriander ingredients. These Terms and Conditions govern the use of our website (https://factoria-agro.ua/en) and the purchase or supply of our products and services. By accessing our website or engaging in business with us, you agree to these terms. If you do not agree, please refrain from using our website or services.
Definitions
“Factoria-Agro”, “we”, “us”, or “our” refers to Factoria-Agro, a company registered in Ukraine.
“You” or “Client” refers to any individual, company, or entity engaging with our website or purchasing our products.
“Products” refers to mustard seeds, mustard powder, mustard oil, flaxseed oil, linseed oil cake, coriander seeds, ground coriander, and related ingredients.
Scope of Services
Factoria-Agro provides high-quality agricultural products and related services, including product supply, logistics, and customized solutions for businesses. All transactions are subject to these Terms and Conditions, unless otherwise agreed in a signed contract.
Orders and Contracts
Order Placement: Orders can be placed via our website contact form, email, or direct communication with our sales team. All orders are subject to acceptance and availability.
Contract Formation: A binding contract is formed upon our written confirmation of your order, including mutually agreed terms, pricing, and delivery schedules.
Customization: We offer tailored product specifications and packaging based on client requirements, as agreed during the consultation process.
Pricing and Payment
Pricing: Prices are provided in written quotations and are valid for the period specified. Prices exclude taxes, duties, or additional logistics costs unless otherwise stated.
Payment Terms: Payments must be made according to the terms specified in the order confirmation or contract, typically via bank transfer. Late payments may incur interest at a rate compliant with Ukrainian law.
Currency: Unless otherwise agreed, all transactions are in Ukrainian Hryvnia (UAH) or a mutually agreed currency (e.g., USD or EUR).
Delivery and Logistics
Delivery: We deliver products to over 100 countries using our in-house logistics or trusted third-party providers. Delivery terms (e.g., FOB, CIF) will be specified in the contract.
Risk and Title: Risk of loss transfers to the Client upon delivery, as per the agreed Incoterms. Title transfers upon full payment.
Delays: Factoria-Agro is not liable for delays caused by force majeure, including natural disasters, strikes, or regulatory restrictions, but will notify clients promptly.
Product Quality and Warranties
Quality Standards: Our products comply with FSSC22000, Kosher, and Halal certifications, ensuring high quality and traceability.
Warranties: We warrant that products meet the agreed specifications at the time of delivery. Any claims regarding defects must be reported within 7 days of receipt, with supporting evidence.
Returns: Defective products may be returned or replaced at our discretion, subject to inspection and verification.
Intellectual Property
All content on our website, including logos, product descriptions, and images, is the property of Factoria-Agro or its licensors. Unauthorized use is prohibited without prior written consent.
Limitation of Liability
Factoria-Agro is not liable for indirect, incidental, or consequential damages arising from the use of our products or services, except where prohibited by law.
Our liability is limited to the value of the products or services provided under the relevant contract.
Clients are responsible for ensuring our products meet their local regulatory requirements.
Confidentiality
Any confidential information shared during business interactions (e.g., pricing, specifications) must not be disclosed to third parties without written consent, except as required by law.
Governing Law and Dispute Resolution
Governing Law: These Terms and Conditions are governed by the laws of Ukraine.
Disputes: Any disputes arising from these terms or related contracts will be resolved through negotiation. If unresolved, disputes will be submitted to the competent courts in Kyiv, Ukraine, unless otherwise agreed.
Force Majeure
Factoria-Agro is not liable for failure to perform obligations due to unforeseen events beyond our control, including but not limited to war, natural disasters, or government restrictions.
Termination
We reserve the right to terminate or suspend services if a Client breaches these terms, fails to make payments, or engages in unlawful conduct. Termination does not relieve the Client of outstanding payment obligations.
Amendments
We may update these Terms and Conditions at any time. The latest version will be posted on our website, and continued use of our services constitutes acceptance of the updated terms. Significant changes will be communicated to existing clients via email.
